ParkAgent, a product of Vacation Rental Parking Solutions, Inc.. Effective June 2026.

1. Acceptance of Terms

By accessing or using ParkAgent (the “Service”), you agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy. If you do not agree with any part of these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you and Vacation Rental Parking Solutions, Inc. (“VRPS,” “we,” “us,” or “our”).

2. About ParkAgent / The Service

ParkAgent is a parking authorization and management platform operated by Vacation Rental Parking Solutions, Inc.. The Service enables property managers, owners, and guests to issue, receive, and manage parking passes for designated properties. ParkAgent uses data and predictive tools to help manage parking availability; it does not own, control, or operate any physical parking facility.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract in your jurisdiction. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” as used in these Terms shall refer to both you personally and that organization.

4. Accounts and Phone-Number Identity

Your mobile phone number serves as your primary identifier on ParkAgent. You agree to:

  • Provide accurate, current, and complete information when registering or interacting with the Service.
  • Maintain and promptly update your information so that it remains accurate and complete.
  • Keep your credentials and account access confidential; you are responsible for all activity that occurs under your account.
  • Notify us immediately of any unauthorized use of your phone number or account.

We are not liable for any loss or damage arising from your failure to maintain the security of your account.

5. Parking Passes and Authorization

A parking pass issued through ParkAgent authorizes parking at the designated property subject to that property’s rules, posted signage, and applicable laws. A parking pass does NOT guarantee a physical parking space. Availability of spaces depends on property capacity, the property owner’s or manager’s rules, and real-world conditions beyond our control. ParkAgent provides tools to help manage and predict availability, but we make no warranty or guarantee that a space will be available when you arrive.

Property owners and managers are solely responsible for the physical management, maintenance, and enforcement of their parking facilities. VRPS, Inc. is not responsible for disputes between guests and property owners or managers regarding parking space availability or enforcement.

6. Payments, Fees, and Refunds

Parking rates, fees, and any applicable charges are set by the property and are displayed to you before you complete a purchase. By completing a purchase, you agree to pay all amounts shown. Payments are processed through a third-party payment processor (such as Stripe, Inc.); by submitting payment information, you also agree to that processor’s terms of service and privacy policy.

Applicable taxes, service fees, and transaction fees may be added to your total. Refunds, where available, are governed by the applicable property’s refund policy and any requirements of law. VRPS, Inc. does not control property refund policies and is not responsible for refund decisions made by property owners or managers.

7. Acceptable Use

You agree that you will not:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Provide false, misleading, or inaccurate information, including vehicle information.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or networks connected to the Service.
  • Register or authorize parking for vehicles you do not own or are not authorized to register.
  • Use automated means (bots, scrapers, or similar tools) to access or interact with the Service without our express written consent.
  • Reproduce, redistribute, sell, or commercially exploit any part of the Service without our written authorization.

8. SMS and Text Messaging

The following SMS terms are effective June 2, 2026. By enrolling in ParkAgent SMS notifications, you agree to the terms set out in this section.

Program

ParkAgent sends automated SMS notifications for parking activity, pass alerts, and account updates.

How to Opt In

Text START to +1 (830) 201-0101. You will receive a confirmation message.

Message Frequency

Message frequency varies based on your parking activity.

Costs

Message and data rates may apply. Contact your wireless carrier for details.

How to Opt Out

Reply STOP at any time. You will receive one confirmation message and no further messages will be sent. Reply START to re-enroll.

9. Intellectual Property

ParkAgent and the ParkAgent logo are trademarks of Vacation Rental Parking Solutions, Inc.. VRPS and VRPAccess are registered trademarks of Vacation Rental Parking Solutions, Inc.. All other trademarks, service marks, and trade names appearing on or through the Service are the property of their respective owners.

Subject to your compliance with these Terms, VRPS, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purposes. You may not reproduce, modify, distribute, or create derivative works of any content from the Service without our prior written permission.

10. Third-Party Services

The Service relies on third-party providers, including wireless carriers, payment processors, and mapping services. These third parties operate under their own terms of service and privacy policies. We are not responsible for the availability, accuracy, or reliability of third-party services, nor for any actions or omissions by third-party providers. Your use of third-party services is at your own risk.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VRPS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vacation Rental Parking Solutions, Inc. and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Alabama, USA, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Mobile County, Alabama, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we do, we will revise the effective date at the top of this page. We may also notify you by other means, such as through the Service or via SMS, where appropriate. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
